Our client is international distributor of medical equipment. They are looking for a potential candidate to join their new office in Bangkok.
Job description:
1. Corporate Governance
- Advise the board of directors on corporate governance best practices.
- Organize and attend board meetings, ensuring proper documentation and compliance with legal requirements.
- Ensure that corporate governance policies and procedures are followed.
2. Compliance
- Monitor and ensure compliance with applicable laws, regulations, and company policies.
- Prepare and file necessary regulatory documents and reports, such as annual reports and financial statements.
- Keep abreast of legal and regulatory changes that may affect the company.
3. Records Management
- Maintain and update corporate records, including minutes of meetings, shareholder records, and other legal documents.
- Ensure the safekeeping of important corporate documents, such as the company's constitution and agreements.
4. Shareholder Relations
- Communicate with shareholders, handle share transfers, and manage the issuance of share certificates.
- Organize and oversee shareholder meetings, including the annual general meeting.
5. Risk Management
- Identify potential legal and compliance risks and develop strategies to mitigate them.
- Collaborate with other departments to address compliance-related issues.
6. Ethics and Corporate Responsibility
- Promote ethical behavior and corporate social responsibility within the organization.
- Develop and enforce a code of conduct and ethics policies.
7. Advisory Role
- Serve as an advisor to the board and senior management on legal and compliance issues.
- Offer guidance on corporate transactions, mergers, acquisitions, and restructuring.
Qualifications
- Fluent in Thai and good command in English.
- Bachelor's degree in law, business, or a related field.
- Professional qualification as a Company Secretary for public company limited.
- Experienced as company secretary for 5-10 years.
- In-depth knowledge of corporate laws, regulations, and governance principles (SET,SEC).
- Strong communication, interpersonal, and leadership skills.
- Attention to detail and organizational skills.
- Ability to work independently, team management and working under pressure.
